Terms of Service

1. Agreement to Terms

By accessing or using Dictation Direct's services related to DAX Copilot ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Services.

2. Description of Services

Dictation Direct is a gold-tier certified reseller of DAX Copilot, an AI-powered medical documentation solution created by Nuance, a Microsoft company. Our services include:

• Sales and licensing of DAX Copilot software
• Implementation consultation and planning
• User training and workflow customization
• Ongoing support and assistance

DAX Copilot is an add-on for the Dragon Medical One desktop application that uses a mobile app to listen to patient encounters, processes audio on HITRUST certified Microsoft servers, and generates medical documentation that can be transferred to your EMR with voice commands.

3. Eligibility

The Services are intended solely for licensed healthcare professionals and healthcare organizations. By using the Services, you represent and warrant that you are:

• At least 18 years of age
• A licensed healthcare professional or authorized representative of a healthcare organization
• Authorized to enter into this agreement on behalf of your organization

4. Account Registration

To access certain features of the Services, you may be required to register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

5. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose
• Violate any applicable healthcare regulations or standards
• Attempt to gain unauthorized access to any systems
• Interfere with or disrupt the Services
• Transmit any malicious code or harmful content
• Use the Services in any way that could damage our reputation

6. HIPAA Compliance

All Protected Health Information (PHI) is processed directly by Nuance/Microsoft on HITRUST certified servers. Dictation Direct does not access, store, or process any PHI. Users are responsible for ensuring their use of DAX Copilot complies with HIPAA and all applicable healthcare privacy regulations.

7. Intellectual Property

DAX Copilot and Dragon Medical One are proprietary products of Nuance, a Microsoft company. All intellectual property rights in these products remain with Nuance/Microsoft. Dictation Direct's role is limited to authorized resale and support services.

8. Payment Terms

Payment terms for DAX Copilot licenses and services will be specified in your order agreement. All fees are non-refundable unless otherwise stated in writing.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. DICTATION DIRECT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

DAX Copilot is a tool to assist healthcare professionals and is not a substitute for professional medical judgment. Users remain responsible for all clinical decisions and documentation accuracy.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DICTATION DIRECT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

11. Indemnification

You agree to indemnify, defend, and hold harmless Dictation Direct, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of or in connection with your use of the Services or violation of these Terms.

12. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Services will cease immediately.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of North Carolina, without regard to its conflict of law provisions. Any legal action or proceeding shall be brought exclusively in the courts located in Lenoir County, North Carolina.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If we make material changes, we will provide notice through the Services or by other means. Your continued use of the Services after such notice constitutes acceptance of the modified Terms.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Dictation Direct regarding the Services.

17. Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition.

18. Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign our rights under these Terms without restriction.
